License Terms

Thank you for choosing Smart Product Emails PRO. This License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity, referred to as “You” or “Licensee”) and Smart Product Emails (“Licensor,” “We,” “Us,” or “Our”) for the use of the Smart Product Emails PRO WordPress plugin (“Software”).

By purchasing, downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not purchase, download, install, or use the Software.

1. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software in accordance with the license type you have purchased:

Single Site License

  • Use the Software on one (1) WordPress installation/website
  • Receive updates and support for one (1) year from purchase date

5-Site License

  • Use the Software on up to five (5) WordPress installations/websites
  • Receive updates and support for one (1) year from purchase date

Unlimited Site License (if applicable)

  • Use the Software on unlimited WordPress installations/websites owned or managed by you
  • Receive updates and support for one (1) year from purchase date

2. License Restrictions

You may NOT:

  • Redistribute or resell the Software or any portion thereof
  • Modify, reverse engineer, decompile, or disassemble the Software except as permitted by applicable law
  • Remove or alter any copyright, trademark, or proprietary notices from the Software
  • Use the Software for any illegal or unauthorized purpose
  • Share your license key with third parties or use it on more sites than your license permits
  • Create derivative works based on the Software for commercial distribution
  • Use the Software on websites you do not own or manage (unless explicitly permitted by your license type)

3. Ownership and Intellectual Property

The Software is licensed, not sold. Smart Product Emails retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Smart Product Emails.

4. Updates and Support

Updates

  • While your license is active (within the first year or during an active renewal period), you are entitled to receive all Software updates, including bug fixes, security patches, and feature enhancements.
  • Updates are provided “as is” without warranty of any kind.
  • After your license expires, you may continue to use the last version you downloaded, but you will not receive updates.

Support

  • Support is provided via email at support@smartproductemails.com for active license holders only.
  • Support includes assistance with installation, configuration, and troubleshooting.
  • Support does not include customization services or development of custom features.
  • We aim to respond to support requests within 1-2 business days, but response times are not guaranteed.

5. Renewals

  • Licenses are valid for one (1) year from the date of purchase.
  • After one year, your license will expire, and you will no longer receive updates or support.
  • You may renew your license annually to continue receiving updates and support.
  • Renewal pricing may differ from initial purchase pricing.
  • If you choose not to renew, you may continue using the Software at the version installed when your license expired.

6. License Activation and Validation

  • You will receive a unique license key upon purchase.
  • The Software requires activation using your license key.
  • The Software may periodically communicate with our licensing server to validate your license.
  • Data collected during license validation includes: timestamp, license key, website URL, IP address, and API response status.
  • If license validation fails (e.g., expired license, exceeded site limit), certain features may be disabled.

7. Termination

This Agreement is effective until terminated.

Termination by You:

  • You may terminate this Agreement at any time by uninstalling the Software, deleting all copies, and deactivating your license key.
  • Termination does not entitle you to a refund unless you qualify under our Refund Policy.

Termination by Us:

  • We may terminate this Agreement immediately if you violate any terms of this Agreement.
  • Upon termination for violation, you must immediately cease all use of the Software, uninstall it from all websites, and delete all copies.

Upon termination, all rights granted to you under this Agreement will immediately cease.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Software will meet your specific requirements
  • The Software will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Software will be accurate or reliable
  • Any errors in the Software will be corrected

You assume all responsibility and risk for the use of the Software.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMART PRODUCT EMAILS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF SMART PRODUCT EMAILS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from or related to this Agreement or the Software shall not exceed the amount you paid for the Software license.

10. Refund Policy

Our refund policy is governed by our separate Refund Policy, which can be found on our Refund Policy page. Please review the Refund Policy before purchasing.

11. Privacy and Data Collection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your data when you use the Software.

The Software collects limited data for license validation purposes as described in Section 6 above.

12. Modifications to Agreement

We reserve the right to modify this Agreement at any time. Changes will be effective immediately upon posting to our website. Your continued use of the Software after changes are posted constitutes your acceptance of the modified Agreement.

We will make reasonable efforts to notify you of material changes via email or through the Software interface.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14. Entire Agreement

This Agreement, together with our Refund Policy, Privacy Policy, and Terms and Conditions, constitutes the entire agreement between you and Smart Product Emails regarding the Software and supersedes all prior agreements and understandings, whether written or oral.

15. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
